Première Vision may increase stake in ModAmont to 100%

Première Vision S.A., holders of a 49% stake in ModAmont SAS since 2007, is expected to take full control of the company, which organises the ModAmont show specializing in fashion accessories and components, by purchasing the 51% stake held by Tarsus France SAS.

A purchase option was granted to Tarsus France SAS, and the operation, which remains suspended till the exercise of the option by Tarsus France SAS and the approval of shareholders in the parent company of Tarsus France SAS, the Tarsus Group Plc., listed on the London Stock Exchange, could become effective by the end of 2011.

ModAmont has been fully integrated from the start in Première Vision Pluriel, a group of trade shows targeting fashion professionals that is held twice a year, in February and September, in Paris-Nord Villepinte. Over the past 15 years ModAmont has acquired a world leadership position in its market. At its most recent edition last September, the event brought together 289 exhibitors from 25 countries and welcomed more than 21,000 visitors, 60% coming from abroad.

With this operation, Première Vision S.A., which organizes some 22 trade shows each year in France, Belgium, Brazil, China, Russia and the United States, will round out its portfolio of global brands in the field of material and services for the fashion and home industries, with Première Vision for fabrics, Indigo (designs), Expofil (yarns and fibres) and now ModAmont (accessories).

The company, itself controlled by the Première Vision Association (51% of the capital) and the GL events group (49%), should seamlessly integrate its new subsidiary, as it has already been providing operational management to ModAmont since 2007, in the framework of the initial agreements signed with Tarsus France SAS.

In this context, management of the show will remain entrusted to Gilles Lasbordes, a member of the executive board of Première Vision S.A., assisted by the current team. The strategic positioning of the Paris show would be confirmed, and synergies could be developed gradually with the other activities of Première Vision, particularly abroad.

This operation also provides Tarsus France SAS, which took control of ModAmont in 2006 and has accompanied the show's development by lending its know-how as a trade-fair organizer, the opportunity to focus on their core competency, the organisation of BtoB exhibitions specialised in corporate services, and to strengthen its strategy of creating new shows and web-based development.
