Through the takeover the new Tom Tailor Group has become a new heavyweight in the European fashion industry. With the Tom Tailor and Bonita brands, the expanded Group now operates more than 1,350 retail stores with more than 6,100 employees in its core markets of Germany, Austria, Switzerland and Benelux.

Tom Tailor announced the acquisition of Bonita on June 20, 2012. The purchase price consists of a cash consideration amounting to approximately EUR 146 million, as well as around 6 million new Tom Tailor shares from a capital increase in kind from authorised capital. The seller, Bonita International GmbH & Co KG, a wholly owned subsidiary of the non-profit foundation Versorgungs- und Förderungsstiftung Vaduz, Liechtenstein, now holds a 24.9% stake in Tom Tailor, and will not exceed this threshold in the long term. The new Tom Tailor shares from the capital increase in kind may not be traded within the first three years and are therefore not available for sale.
