Eastman issues offering of $500mn 4.65% notes due 2044

Eastman Chemical Company announced the public offering of $500 million 4.65% 30-year notes due 2044 (the “Notes”). The offering of the Notes is expected to close on May 15, 2014, subject to customary closing conditions.

J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and Wells Fargo Securities, LLC are serving as joint book-running managers for the offering.

Eastman intends to use the net proceeds from the offering of the Notes for general corporate purposes, which may include working capital, capital expenditures, the repayment of indebtedness outstanding from time to time and other matters in connection with the implementation of its strategic initiatives. Eastman may use a portion of the net proceeds to acquire or invest in businesses, products and technologies that are complementary to its current business.

The offering is being made under an automatic shelf registration statement on Form S-3 (Registration No. 333-181549) filed by Eastman with the Securities and Exchange Commission (“SEC”) on May 18, 2012 and only by means of a prospectus supplement and accompanying prospectus.
