Spirit AeroSystems prices public offering at $32.45/share

Spirit AeroSystems Holdings, Inc. announced the pricing of a previously announced public secondary offering of 8,168,351 shares of the Company's class A common stock by selling stockholders at a public offering price of $32.45 per share. The Company will not receive any proceeds from the offering.

The shares are being offered by affiliates of Onex Corporation and current and former members of management of the Company. Onex will no longer maintain voting control of the Company following the completion of this offering. The shares are being offered pursuant to an automatic shelf registration statement on Form S-3 filed on June 4, 2014 with the U.S. Securities and Exchange Commission ("SEC").

As previously announced, the Company will repurchase from the underwriters 4,000,000 of the 8,168,351 shares of the Company's class A common stock that are the subject of the offering concurrently with, and subject to, the closing of the offering.

The Company's per-share purchase price for the repurchased shares will be the same as the per-share purchase price payable by the underwriters to the selling stockholders. The repurchased shares will no longer be outstanding following completion of the offering. The Company expects to fund the share repurchase with cash on hand.

Morgan Stanley and Barclays are acting as underwriters for the offering. The offering is expected to close on June 10, 2014, subject to customary closing conditions.
