Specialty retailer Neiman Marcus declares exchange offers

The Neiman Marcus Group Inc operations include the Specialty Retail Stores segment and the Direct Marketing segment. The Specialty Retail Stores segment consists primarily of Neiman Marcus and Bergdorf Goodman stores. The Direct Marketing segment conducts both print catalog and online operations under the Neiman Marcus, Horchow and Bergdorf Goodman brand names.
The Neiman Marcus Group, Inc. today announced that it has extended the expiration date of its previously announced offer to exchange (1) up to $700,000,000 in aggregate principal amount of its new 9 percent /9¾ percent Senior Notes due 2015 for a like principal amount of its currently outstanding 9 percent/9¾ percent Senior Notes due 2015 and (2) up to $500,000,000 in aggregate principal amount of its new 10? percent Senior Subordinated Notes due 2015 for a like principal amount of its currently outstanding 10? percent Senior Subordinated Notes due 2015.
Except for the extension of the expiration date, no terms of the exchange offers have been changed. The newnotes are substantially identical to the original notes, except that the new notes have been registered under the federal securities laws, are not subject to transfer restrictions and are not entitled to certain registration rights relating to the original notes.
