METabolic EXplorer awards 350.000 share warrants to employees

METabolic EXplorer, a green chemistry company that specializes in the development of bioprocesses for the production of chemical compounds used in a wide range of everyday products - paints, solvents, adhesives, textile fibres and surgical thread announced the decisions of its combined Annual and Extraordinary General Shareholders' Meeting, held yesterday 28 May 2008 at Clermont-Ferrand International Airport (Clermont-Ferrand, France).

Ordinary shareholders have approved:
- the Company's annual (corporate & IFRS) accounts for 2007
- the allocation of the Company's 2007 profits
- the regulated agreements governed by Article L. 225-86 and the subsequent articles of the French Commercial Code
- specific approval of the unemployment insurance policy taken out by the Company on November 30th, 2005 for the Chairman of the Management Board as per Article L. 225-42-1 of the French Commercial Code
- renewal of the appointments of 4 members of the Supervisory Board
- the appointment of Hans Vogelsang as a new independent member of the Supervisory Board
- the annual remuneration of the Supervisory Board members and Committee members
- the annual remuneration of independent Committee members
- the renewal of the appointments of the statutory lead and deputy auditors

As part of the Extraordinary General Shareholders' Meeting, the following resolutions were passed:
- amendment of Article 14.IV of the Company's Articles of Association with a view to increasing the age limit for members of the Supervisory Board
