Gunze Limited decides to change corporate structure

On May 13,2009 at its Board of Directors Meeting,Gunze Limited decided on the following changes for directors and corporate auditors. The new directors and corporate auditors will be officially appointed at the ordinary General Meeting of Shareholders scheduled for June 25, 2009, as well as the Board of Directors Meeting and the Board of Corporate Auditors Meeting to be held on the same day after the General Meeting of Shareholders.

1. Directors
All ten (10) current directors are to be reappointed.

2. Corporate Auditors
(1) Candidate for New Standing Corporate Auditor
Yukio Shimoi (presently Manager of Finance & Accounting Section, Management & Strategy Department, Gunze Limited)
(2) Mr. Shuji Osafune, presently standing Corporate Auditor, is to be a non-standing Corporate Auditor as of the same date.

3. Date for Taking New Posts (scheduled) June 25, 2009
