Gupta Synthetics Ltd has informed that the members at the 23rd Annual General Meeting (AGM) of the Company held on September 26, 2007, inter alia, have accorded to the following: 1. Audited Financial Accounts for the year 2006-2007 i.e. as on March 31, 2007 has been approved.
2. Declaration of dividend @ 10% (Rs 1.00 Per Equity Share) on the paid up capital of the Company and also pro- rate basis to new Equity Shares allotted on Preferential allotment on private placement basis.
3. Shri. Shyamsunder N Gupta appointed as Managing Director of the Company with remuneration with effect from October 01, 2007.
4. Shri. Mohan N Gupta resigned as Managing Director of the Company with effect from September 30, 2007 and appointed him as Whole Time Director of the Company with effect from October 01, 2007 with a remuneration.
5. The issue / create Equity Shares through Global Depository Receipts (GDRs) / American Depository Receipts (ADRs) / Foreign Currency Convertible Bond (FCCBs) etc, / subject to necessary approvals.
