Shoppers Stop Ltd has informed that the members at the 10th Annual General Meeting (AGM) of the Company held on July 28, 2007, inter alia, have transacted and approved the following:
1. Adoption of the Balance Sheet as at March 31, 2007 along with the Profit and Loss Account for the year ended on that date and the Reports of Directors & Auditors thereon.
2. Payment of dividend of 15% on 3,48,50,920 Equity Shares of the Company.
3. Re-appointment of Mr. Deepak Ghaisas & Mr. Gulu Mirchandani, as Directors of the Company.
4. Re-appointment of Deloitte Haskins & Sells, Chartered Accountants, as the Statutory Auditors of the Company to hold office from conclusion of this Annual General Meeting till the conclusion of the next Annual General Meeting.
5. Increase in the Authorised Share Capital of the Company from Rs 40,00,00,000 to Rs 100,00,00,000.
6. Alteration of 'Capital Clause' -V of the memorandum of Association of the Company.
7. Revision of the 'Object of the issue' and consequent utilization of monies raised by the Company in its Initial Public Offer of shares and remaining unutilized from those mentioned in the 'Objects of the Issue' of the Prospectus dated May 09, 2005.
