Outcome of Seasons Textiles AGM

Seasons Textiles Ltd has informed that the members at the 21st Annual General Meeting (AGM) of the Company held on September 29, 2007, inter alia, have accorded to the following:
1. Adoption of the Profit & Loss Account for the year ended March 31, 2007, the Balance Sheet as on that date and Directors and Auditors Report thereon.

2. Re-appointment of Shri. Mandeep S Wadhwa & Shri. C K Tikku as Directors of the Company.

3. Re-appointment of M/s. K L Datta & Co, Chartered Accountants, as Auditors of the Company to hold office from the conclusion of this Annual General Meeting until the conclusion of the next Annual General Meeting on a remuneration, terms and conditions.

4. Re-appointment of Shri. Inderjeet S Wadhwa as Managing Director of the Company for a period of 3 years with effect from October 01, 2007, on remuneration, terms and conditions.

5. Accorded consent to the appointment of Shri. Sumer S Wadhwa, in the Company as an Executive of the Company with such designation and terms and conditions as the Board may deem fit on remuneration, terms & conditions.

6. Authority to the Board to the mortgaging and / or charging by the Board of Directors of the Company of all the immovable and movable properties of the Company wherever situate, present and future and the whole of the undertaking of the Company and / or to giving the power to take over the Management of the business and concern of the Company in certain events (whether such power is contained in the documents creating the mortgage charge or otherwise) to secure:—
