Women's specialty apparel retailer The J Jill Group Inc announced that Jonathan P. Ward, Chief Executive Officer and Chairman of the Board of The ServiceMaster Company, has resigned from the company's Board of Directors, effective as of August 15, 2005. Ward has been a director of the company since June 2001 and was a member and Chairman of the Nominating and Corporate Governance Committee of the Board of Directors.
Also effective August 15, 2005, James G. Held, a Director of the company since September 2004, has become a member of the Nominating and Corporate Governance Committee and has replaced Ward as its Chairman.
Gordon R. Cooke, the company's President, Chief Executive Officer and Chairman of the Board of Directors, commented, "They would like to thank Jon for his many contributions to the J. Jill Board. They have benefited from his extensive managerial experience and knowledge of the catalog industry, and they wish him all the best in the future."
With this announcement, J. Jill's Board will have seven directors - six of whom are independent as defined under applicable NASDAQ rules. The Board is divided into three classes, each containing, insofar as possible, an equal number of Directors. Directors of each class serve for staggered three-year terms, with the term of one of the three classes expiring each year at the Company's annual meeting of stockholders or special meeting in lieu thereof.
