Postponement of the decision on the proposed merger by incorporation of Antichi Pellettieri S.p.A. into Mariella Burani Fashion Group S.p.A.

The Boards of Directors of Mariella Burani Fashion Group S.p.A. and Antichi Pellettieri S.p.A. have resolved to put aside for the time being the project of merger by incorporation of Antichi Pellettieri S.p.A. into Mariella Burani Fashion Group S.p.A.

Further to the public announcements on 14 March 2009 and 1st April 2009, the Boards of Directors of Mariella Burani Fashion Group S.p.A. (“MBFG”) and Antichi Pellettieri S.p.A. (“AP”), which met yesterday, have examined and discussed the proposed transaction concerning the merger by incorporation of AP into the parent company MBFG (the “Merger”).

Considering the challenging general economic landscape, the current phase of instability of the financial markets, the Boards of MBFG and AP have deemed advisable to set aside for the time being the merger project, in order to carry out further in-depth analysis aimed at ensuring the highest safeguards and transparency to all shareholders also with respect to the determination of the exchange rate.

In the event that, pursuant to such in-depth analysis, and in light of the evolution of the market situation, the Boards should decide to resume the merger process, the companies will provide the relevant prompt disclosure to the market.
